1. Introduction Welcome to TNM Studio (“we,” “our,” “us”). These Terms and Conditions (“Terms”) govern the use of our services and any agreements entered into with us. By booking our services, you agree to these Terms.

2. Services TNM Studio offers professional real estate photography services, including but not limited to:

• Interior and exterior property photos

• Aerial photography (subject to limitations and regulations)

• Virtual tours

• Floor plans

All services will be delivered according to the specifications agreed upon at the time of booking.

3. Booking and Payment

3.1. Booking: All bookings must be confirmed via email or our online booking system. A booking is not confirmed until you receive a confirmation from us.

3.2. Payment: Payment is due within 14 days of receiving the invoice unless otherwise agreed upon. We accept payments via credit card, bank transfer, and other methods as specified on the invoice. Late payments may incur a late fee of 5% per month.

3.3. Cancellations: Cancellations must be made at least 24 hours before the scheduled shoot. Cancellations made less than 24 hours prior to the shoot will incur a cancellation fee of 50% of the agreed service fee.

4. Special Considerations

4.1. Shot Inclusions/Exclusions: Please provide clear instructions on any specific areas or features of the property that should be included or excluded from the photography. This includes, but is not limited to, rooms, amenities, and external views. If no instructions are provided, the photographer will use their discretion to capture the property in the best possible light.

4.2. Property Preparation: It is the client's responsibility to ensure that the property is clean, decluttered, and staged appropriately for photography before the photographer's arrival. If the property is not adequately prepared for photography, the property will be shot "as is" or may require rescheduling if the property is deemed unsuitable for photography at the time.

• Exterior: The exterior of the building should be clean, and any construction or landscaping activities should be completed or paused during the photoshoot.

• Interior: Ensure that all lighting fixtures are functional throughout the property to create the best possible images.

• Landscaping: The landscape should be well-maintained. Construction and landscaping activities are not recommended during the shoot.

• Trash Cans: Trash cans should be tucked out of view.

• Pets: Pets should be content and kept out of sight during the photoshoot.

4.3. Aerial Photography: Aerial photography services may be limited or require special authorization from the Federal Aviation Administration (FAA). TNM Studio will advise on any restrictions and, if necessary, obtain the required permissions. Please be aware that some locations may be subject to no-fly zones, weather conditions, or other factors that could affect the ability to capture aerial images.

4.4. Additional Considerations:

• Client Files: We keep client files for up to 2 years after the photography session and are not liable for any claims after this period. All client files will be deleted and backups purged after this period.

• Children: It is the client’s responsibility to supervise children. We will not accept any responsibility for accidents involving children or damage to public or private property during the photo session or consultation.

• Exclusive Photography: No other photographer, amateur or professional, shall be allowed to photograph during our photography session.

5. Photography Session Duration The duration of each photography session will vary depending on the size and complexity of the property. On average, a standard real estate photography session lasts between 1-2 hours.

6. Intellectual Property Rights

6.1. Ownership: All photos and media produced by TNM Studio remain our intellectual property. Upon full payment, you are granted a non-exclusive, non-transferable license to use the images for marketing and promotional purposes related to the property.

6.2. Restrictions: You may not sell, transfer, or sublicense the images to third parties without our express written consent. Unauthorized use of the images may result in legal action.

7. Client Responsibilities

7.1. Property Preparation: It is your responsibility to ensure the property is ready for photography. This includes cleaning, organizing, and ensuring all areas to be photographed are accessible.

7.2. On-Site Presence: You or a designated representative must be present during the shoot unless otherwise agreed upon.

7.3. Weather Conditions: In the case of adverse weather conditions, we may reschedule the shoot at our discretion to ensure the highest quality images.

8. Delivery of Images

8.1. Turnaround Time: Images will be delivered within 3 business days after the shoot unless otherwise agreed upon.

8.2. Format: Images will be delivered in JPEG format via a secure online gallery or download link.

8.3. Download Link: The download link for the images will be available for 3 weeks. After this period, the link will expire, and files will be removed from our system.

8.4. Revisions: Minor revisions are included in the service fee. However, substantial edits or additional requests may incur additional charges.

9. Delivery of Virtual Tour

9.1. Turnaround Time: Virtual tour will be delivered within 3 business days after the shoot unless otherwise agreed upon.

9.2. Format: Virtual tour will be delivered as an MLS-compliant link.

10. Liability

10.1. Performance: TNM Studio will make every effort to provide services in a timely and professional manner. However, we are not liable for any delays or failures caused by factors beyond our control.

10.2. Damage: TNM Studio is not responsible for any damage to the property that may occur during the photoshoot unless caused by our substantial carelessness or deliberate negligence.

11. Indemnification You agree to indemnify and hold TNM Studio harmless from any claims, damages, or legal expenses arising from the use of our services, including any claims related to the misuse of images.

12. Amendments We reserve the right to amend these Terms at any time. Any changes will be communicated to you and will apply to future services.

13. Governing Law These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising under these Terms shall be resolved in the courts of State of Oregon.
